  2. Terms of Service (Summary)

    By engaging with Shilron, you agree to the following terms:

    Service Scope

    All services are defined in a mutually agreed proposal or contract. Shilron commits to execution excellence, campaign optimization, and consistent delivery.

    Client Responsibilities

    Clients are responsible for:

    • Providing accurate data and inputs

    • Approving messaging and campaigns

    • Ensuring their product/service complies with applicable laws

    Payment Terms

    • Services may be subscription-based or project-based

    • Fees are non-refundable once services begin

    • Monthly services require a 15–30-day cancellation notice

  3. Data Protection & Privacy

    We take data protection seriously and follow globally accepted standards.

    Data Usage

    We may collect and process:

    • Contact information (name, email, company)

    • Campaign and engagement data

    • Website usage data (cookies, analytics)

    How We Use Data

    Data Processing Roles

    Shilron acts as a Data Processor, while the Client acts as the Data Controller.

    We process data only for agreed service delivery purposes.

  4. Outreach & Compliance

    Shilron LLP executes outbound campaigns across email, LinkedIn, paid channels, WhatsApp, and other platforms.

    We align with applicable regulations, including the CAN-SPAM Act, and follow platform-specific policies.

    Important:

    • Clients are responsible for the legality of their offering and messaging

    • Clients must ensure the proper rights to use any data provided

    • Shilron LLP is not liable for misuse of data or non-compliant business practices

  5. Confidentiality

    Both parties agree to protect all confidential and proprietary information shared during the engagement.

    This includes:

    1. Business strategies

    2. Customer and prospect data

    3. Campaign performance data

    Confidentiality obligations continue even after the engagement ends.

  6. Intellectual Property
    • All deliverables become the Client’s property upon full payment.

    • Shilron LLP retains the right to showcase work for portfolio and marketing purposes unless restricted by agreement.

  7. Limitation of Liability

    To the maximum extent permitted by law:

    • Shilron’s total liability is limited to the fees paid in the last three (3) months preceding a claim.

    • Shilron LLP is not liable for indirect or consequential damages, including loss of revenue, profits, or business opportunities.

  8. Indemnification

    The Client agrees to indemnify and hold Shilron harmless from claims arising from:

    • The Client’s product or service.

    • Misleading or non-compliant marketing claims.

    • Improper use of data or outreach lists.

  9. Service Commitment

    Shilron LLP operates with a performance-driven approach, focusing on:

    • Consistent execution

    • Campaign optimization

    • Transparent reporting

    Specific deliverables and timelines are defined in individual agreements.

  10. Independent Contractor

    Shilron LLP operates as an independent contractor and not as an employee, partner, or legal representative of the Client.

  11. Force Majeure

    Neither party is liable for delays or failure to perform due to events beyond reasonable control, including:

    • Internet or platform outages

    • Government actions

    • Natural disasters

  12. Governing Law

    This agreement shall be governed by the laws of India.

    Both parties agree to attempt good-faith resolution of disputes before initiating formal legal proceedings.
